BUSINESS AND COMMERCIAL LAW
The firm counsels a large number of varied business enterprises, including companies whose
securities are publicly held and traded, providing advice and guidance on the varied legal issues
they encounter. Those issues require attorneys in the firm to be conversant in a range of legal
subspecialties, including federal and state securities law, the law of sales and commercial
transactions, bankruptcy and debtor-creditor law, employment law, and intellectual property law
such as trademarks and copyrights. Our business clients enter into numerous transactions and
the attorneys in the firm negotiate and draft the contracts and other documents embodying those
agreements, including purchase and sale of businesses, shareholder agreements, shareholder and
partnership dissolutions or buyout agreements, commercial lending and equipment financing
agreements, employment agreements, partnership and joint venture agreements, license
agreements, and franchise agreements, as well as real estate transactions involving the
acquisition, financing, and leasing of real property.
We have served as general corporate and/or special securities counsel to a wide range of
publicly-held and private clients, both domestic companies and U.S.-based subsidiaries of
foreign companies. Our services include such tasks as the structuring and formation of the
corporate enterprise, implementation of shareholder arrangements and preparation of
employment agreements, as well as advice on a wide variety of day-to-day corporate matters.
